Example 9: Employment Agreement

Employment Agreement

Pearson Industries, the Employer, and Ronald Wellen, the Employee, hereby enter into this employment agreement. This agreement is subject to the laws of the State of Virginia.

The Employer and Employee agree to the following:

On July 14, 19– the Employee agrees to commence employment in the position of sales representative. The Employer will employ the Employee for an indefinite period of time.

The primary duties and responsibilities of the Employee include:

• Carry out directives and policies of Pearson Industries and the northeastern region sales director.
• Meet sales and service goals for Pearson Industries in the northeastern region
• Maintain existing accounts in the northeastern region
• Solicit new accounts in the northeastern region
• Stay abreast of product development and industry advances

The above list of responsibilities is not complete and may be altered at the Employer’s discretion.

The Employee’s standard work hours and days are Monday through Friday from 9:00 a.m. to 5:00 p.m. The standard work hours and days may be modified at the Employer’s discretion. After four months of employment, the Employee is entitled to two weeks of vacation each calendar year. The scheduling of vacation is subject to reasonable control by Pearson Industries.

By signing this agreement, you consent not to disclose any confidential information about Pearson Industries, its employees, and its customers during and after your period of employment.

This employment may be terminated without cause on two weeks notice. Termination with cause may be occur without advance notice or with payment in place of notice. Only the chief executive officer of Pearson Industries has the authority to change these terms of employment.

The Employee’s starting salary will be $23,000. With the exception of increases in salary granted at the discretion of Pearson Industries, the terms of this contract will be in effect unless amended in writing and signed by both Employer and Employee.

• Will not use knowledge gained from access to confidential information and technology regarding the Employer for herself or others.

• Will not remove any materials or equipment from the Company campus except as required by the her duties to the company.

• Return all materials or equipment upon the Company’s request or termination of employment.

• Will not disclose or publish during the period of employment or after termination of employment any confidential information or trade secret of the Company or any party to whom the Company owes confidentiality.

• Grant the Company the Employee’s rights, title, and interest in inventions and improvements related to Company activities or suggested by tasks done on the Company’s behalf or on company time. These rights, titles, and interests will be granted without additional compensation.

• Promptly provide the Company with a complete record of any and all inventions and improvements the Employee conceived, developed, or completed during the period of employment.

• Promptly notify the Company of prior employment contracts or patent rights that may conflict with Company interests.

• Give Company at least 30 days notice if accepting employment with a business in competition with Allen Research Solutions.

This agreement supersedes the terms of any previous agreements between the Company and Employee that conflict with the terms stated here.

Temporary employees are not eligible to participate in benefit or pension plans.

Temporary employment does not entitle the Employee to any special consideration for permanent employment.

Example 25: Probationary Period of New Employees

Probationary Period for New Employees

New employees at Check Mate Productions are subject to a 90-day probationary period. This is meant to be a period for adjustment and evaluation of the employee’s suitability.

The employee is expected to meet or exceed performance expectations for new employees during the probationary period. The employee is expected to observe company policies, rules, and standard procedures.

The human resources department may extend the probation period beyond 90 days upon supervisor recommendation.

If it becomes apparent the employee will not be able to meet these expectations, he may be terminated at any time within the probationary period. However, before termination, the supervisor will attempt to advise and assist employee in meeting expectations.

Any employee who completes the probationary period successfully will be employed according to all policies and regulations affecting regular employees. The completion of the probationary period does not in any way limit Check Mate Productions’ right to terminate, discipline, or reassign the employee.

Wilson Aeronautics Incorporated, hereinafter referred to as the Company, and Penelope Clark, hereinafter referred to as the Agent, enter into this sales representative agreement.

The Agent agrees to:

• Sell the Company’s products in Connecticut, Rhode Island, and Massachusetts
• Comply with all Company policies
• Accurately represent Company’s products to customers
• Not sell or promote a competitor’s product line during the duration of this agreement
• Contact the sales director weekly
• Submit all orders promptly
• Return all Company materials and products upon termination of this agreement
• Give a minimum of 25 days notice prior to terminating of this agreement

The Company agrees to:

• Pay a commission of 5 percent of gross sales in Connecticut, Rhode Island, and Massachusetts

Separation Agreement

This agreement will confirm the points of our May 16 conversation regarding the termination of your employment at Yellen Digital Technologies.

We explained Yellen Digital Technologies wishes to make your transition to other employment as smooth as possible. Instead of termination, we agreed you would resign and be free to tell prospective employers you left Yellen Digital Technologies voluntarily.

In addition to the severance pay and benefits you are entitled to under our standard policy, we will provide an office for use in your employment search from June 1 to 14 and a four month extension of your health plan.

You acknowledge this agreement represents the complete and final settlement of any and all claims resulting from your employment with Yellen Digital Technologies. These claims are including but not limited to claims under contract, tort, or state or federal statutes that you may have now or in the future. With the exception of the benefits named in this agreement, you agree this company owes you no further liability or obligations after employment is terminated June 13.

We also agree that you must return the following company property in order to receive the stipulated pay and benefits:

4. Marketing materials
